ADDENDUM TO X-RITE COLORMUNKI END USER LICENSE AGREEMENT

This Addendum ("Addendum") to the end user license agreement ("EULA") included with X-Rite Incorporated ("X-Rite") ColorMunki product is made this day of , by and between X-Rite and the licensee identified below ("Licensee").

Whereas, Licensee confirms that it is an Educational Institute (as defined below).

NOW THEREFORE, X-Rite and Licensee hereby agree to amend the EULA to the limited extent, as follows:

1. Unless otherwise defined herein, each capitalized term herein shall have the meaning ascribed thereto in the EULA.
2. Notwithstanding anything to the contrary in the EULA, Licensee may install the Software on up to computers owned by Licensee for use solely by Licensee's registered students, faculty and personnel.
3. In this Addendum, the term "Educational Institute" shall mean an (i) Accredited public or private school providing full-time instruction for grades K-12 and (ii) Accredited public or private university or college that grants degrees requiring not less than the equivalent of two (2) years of full-time study.
4. Except as explicitly provided in this Addendum, all terms and conditions of the EULA shall remain unmodified and shall be binding on X-Rite and Licensee.
